Due Diligence

Alarm Industry. We have the knowledge base and experience to assist you in
evaluating a transaction, or, preparing your business to sell. Our methodology
is sound and based upon accepted substantive testing principles and analytical procedures. While most due
diligence teams look only at existence of collateral, or at the multiple of RMR
paid, we use our industry experience to evaluate the account base as a whole. We
have a working relationship with lenders, industry attorneys, and other
financial professionals. SICC professionals have participated in alarm company
purchase and sale transactions aggregating more than $250 million. We give you
the information to complete your transaction in a reasonable amount of time and
at the best price.
Our due diligence services include:
- Analysis of the net cash flows provided by the customer base
- Statistical procedures to evaluate the unique characteristics of the account base (we
look at overall pricing, prevalence of additional services, such as
supervision and reporting), including a comparison of retail monitoring rates
for the customer base with those in the marketplace
- Contract review for pre determined attributes. The result of this review
is a detailed report for the use of management and its legal counsel to
evaluate the enforceability, and marketability, of the agreements. We offer
multiple approaches including sampling, analytical procedures, and testing of the entire population.
- Quality assurance surveys to test customer satisfaction
- Field testing of installations by NICET certified technicians
- Any level of analytical procedures and/or substantive testing required
- Assistance in securing financing and capital
